Governance is about how an organisation ensures it realises its stated values. In practical terms this means how it controls its actions, defines expectations, devolves power and exercises oversight. Good governance begins with the right organisational culture. What are the values of the organisation and what standards of behaviour will it strive to meet or even exceed? And if the organisation fails to meet those standards or trashes its own values, how will it then act? Effective governance is a strategic discipline, driven from the top and executed throughout every level of the organisation.

Risk is the possibility that an event or events will occur that would adversely impact the organisation achieving its objectives. By measuring both the consequences and likelihood of such events and then taking measures to mitigate or control the event, the risk is reduced. Effective risk management may be both a strategic and tactical activity depending on the nature of the event and the business objective(s) it impacts.

Compliance is the collective action taken by an organisation to ensure that the activities it undertakes agree with both the letter and spirit of the laws, regulations, standards and voluntary codes that govern a business or business process. Effective compliance is an operational activity and must be embedded in the policies and procedures that guide staff in the execution of their daily activities.

Ethics has been traditionally concerned with the philosophy of morality. In the business context, it may be thought of as the "what ought we to do?" question. The emerging discipline of Corporate Responsibility is a pragmatic expression of commercial ethics. It demands that the organisation be transparent about its values and accepts the costs when those values are transgressed. Ethical organisations insist that their people develop a well informed conscience.
